THESE TERMS AND CONDITIONS OF USE CONSTITUTE A LEGAL AGREEMENT BETWEEN YOU AND IMAGES.COM ("WE" OR "OUR"). PLEASE READ THIS AGREEMENT ("AGREEMENT") IN ITS ENTIRETY BEFORE YOU CONTINUE TO USE THIS WEBSITE OR DOWNLOAD ANY IMAGE. IMAGE LICENSING IMAGES.COM grants you a non-transferable, non-exclusive license to review, store, reproduce (including making a copy onto your computer's hard drive) and use the photographic images on this website and any authorized derivatives or copies thereof (collectively the "Images") solely for evaluation purposes, to test or sample the Images, including using the Images in comps, rough or draft layouts, or for demonstration to your clients. No commercial or other reproduction rights are granted herein any additional usage must be secured via a written or e-license. Additionally you may not commission the reproduction of any of the images without written license from Images.com and the associated fee to compensate the original artist. Rates and rights must be negotiated before use, other than those uses described above. All rights not expressly granted in writing remain the exclusive property of the artist. As a condition of the license IMAGES.COM requests the following credit notice "©artist's Name/IMAGES.COM " appear adjacent to the Images or on an obvious credits page or screen. Missing and/or incomplete credits are susceptible to additional charges. Notwithstanding the License Grant above, you may not: Sublicense, re-license, rent or lease any of the Images; Copy or publish any of the Images to a network or bulletin board, or otherwise distribute or allow any of the Images to be distributed to or used by anyone other than the authorized users, without prior written consent from IMAGES.COM; Use any of the Images for any form of pornography, or in a libelous, defamatory, fraudulent, infringing, or otherwise illegal manner; Use any of the Images to promote a business that sells or licenses photographic images, or otherwise competes with IMAGES.COM in any manner; Use an Image in a manner that implies endorsement of a product or service; or Ship, transfer or export any of the Images into any country or use any of the Images in any manner prohibited by any export laws, restrictions or regulations. Cancellation Policy: Orders canceled within 7 days are eligible to receive 100% cancellation or credit; orders canceled with in 30 days are subject to a 50% cancellation fee. No cancellations will be accepted after 30 days from the invoice date. MODEL RELEASES No model releases or other releases exist on any Images unless a network artist specifies the existence of such release in writing to you. You shall indemnify IMAGES.COM against all claims arising out of the use of any Images where the existence of such release has not been specified in writing by a network artist. In any event, the limit of liability of IMAGES.COM shall be the sum paid to it per the invoice for the use of the particular Image involved. You will hold IMAGES.COM harmless from all claims for the use of the Images, including defamatory use. IMAGES.COM gives no right or warranties with respect to the use of names, trademark, logo types, registered or copyrighted designs or works of art depicted in any Image, and IT IS YOUR OBLIGATION TO BE SURE THAT ALL NECESSARY RIGHTS, CONSENTS OR PERMISSIONS, AS MAY BE REQUIRED FOR REPRODUCTION, ARE SECURED. If any Image featuring a model is used in a manner that would lead a reasonable person to believe that the model personally uses or endorses a product or service, or if the depiction of the model is used in connection with a subject that would be unflattering, embarrassing or unduly controversial to a reasonable person, Licensee must accompany each such use with a statement that indicates that the person is a model and the Image is being used for illustrative purposes only.

TERMS AND CONDITIONS OF USE OF IMAGES
SIS, The Stock Illustration Source, Graphistock and Spots on the Spot are registered trademarks owned by Images.com, Inc. This Contract is between you (the "Client") and Images.com, Inc. ("Images.com"). By using the Work, as defined below, Client agrees to be bound by this Invoice and Contract.
RIGHTS-PROTECTED END-USER LICENSE CONTRACT DEFINITIONS AND TERMS OF LICENSE
The date, name of client, address of client, telephone number of client, description of selected image and artist's name (which collectively define the "Work"), material delivered, Expiration Date for use of Work, Distribution Territory and Fee are all as indicated on this invoice. No rights are granted until Images.com receives full payment of the Fee. The Term of Use for the Work begins upon Client's receipt of this invoice and Contract and the digital image and Images.com's receipt of the Fee, and ends on the Expiration Date,
but shall in no event end later than 60 days after Client's receipt of digital image unless otherwise agreed upon or specified by Images.com in writing. The Permitted Use of the Work is as follows. The medium and specifics of use are as indicated on this invoice. No promotional rights of any kind are granted unless negotiated separately and otherwise indicated on this invoice. Images.com hereby licenses to Client one-time usage rights to reproduce the Work for the Permitted Use during the Term of Use in the Distribution
Territory, and the rights granted are non-exclusive unless otherwise indicated on this invoice. No other use of the Work is granted or licensed hereunder and no use whatsoever may be made of the Work or material or products embodying the Work after the Expiration Date (including, without limitation, any publication, distribution, reproduction or sale). The license granted is for the use of the Work in whole but not in part. No modification of the Work shall be made or permitted to be made by the Client. Client agrees that,
unless Images.com expressly agrees otherwise in writing, each use of the Work shall include credit and copyright notice as indicated on this invoice. End user of Work shall provide copyright protection to the Work and such copyright shall be immediately assigned to Images.com or the artist, upon request and without charge. Use of the Work other than as permitted under this contract or without payment in full to Images.com shall constitute copyright infringement, and Images.com shall be entitled to recover for such
infringement, in addition to its other rights and remedies. In the event of copyright infringement where Images.com decides not to institute legal proceedings, it nevertheless retains the right to charge Client above and beyond the normal usage fees. If Images.com is required to institute legal proceedings or incur any costs to recover the Fee from Client, Client shall be responsible for all of Images.com's costs, including its reasonable attorneys' fees and costs. If digital files embodying the Work have been delivered to Client, such files may be used solely for the Permitted Use of the Work, and immediately following the Expiration Date, Client must delete all files and copies of files from all computers, servers and all other electronic media. Such digital files may not be communicated, shared or sent to any other party, or saved in any manner whatsoever before their permanent deletion. Client is responsible for requesting rights from Images.com, in writing, prior to re-using Work in any way, using the Work beyond the Expiration Date
indicated on this invoice, or using the Work other than for the Permitted Use. All rights must be obtained from Images.com by Client and full payment received by Images.com prior to such additional use, re-use or extended use. Failure to do so may put Client at risk for copyright infringement and Client will be liable for all associated costs, fees and penalties, as outlined above. Additional, re-use or extension rights are not guaranteed to be available.
ROYALTY FREE END-USER LICENSE CONTRACT DEFINITIONS AND TERMS OF LICENSE
For the purpose of this Contract, the "Work" shall mean any photographic image, illustration, or other visual or auditory representation delivered in any format. If Client is entering into this Contract on behalf of its employer, the license granted and restrictions and limitations recited herein apply to its employer as well as to Client as a representative of its employer. Should Client cease working for its employer, this Contract continues to bind its employer. This license permits the following uses of the Work: Client may use the Work in its personal, professional, editorial and client projects including printed materials, advertisements, packaging, presentations, film, video, commercials for television broadcast, on-line or multimedia projects, computer games and web designs. The Work may be distributed within a network or similar asset management system to no more than 5 computer/workstations within the same company or similar legal entity. If the Work is to be placed onto a network of servers accessible by more than 5 computers/workstations, please contact your local sales office, as you will require a Seat License. Client may make one copy of the Work solely for backup or archival purposes
or transfer the Work to a single hard drive, provided that Client keeps the original and accompanying documentation in its possession. Images.com, Inc. grants Client the non-exclusive, non-transferable license to use and modify the Work subject to the restrictions contained herein. This license does not permit the following uses: the Work may not be sublicensed, resold or otherwise made available for use or distribution separately or detached from a product or web page. Use as a trademark or service mark is not permitted. The Work may not be placed on any electronic bulletin board, or on-line in a downloadable format, or used on a website at a resolution higher than 72dpi. Client may not include the Work in any electronic template or application, including those which are web based, where the purpose is to create multiple impressions of an electronic or printed product, including but not limited to website designs, presentation templates, electronic greetings cards, business cards or any other electronic or printed matter. It is not permitted to use the Work in any products for sale whose primary value lies in the Work itself. Such restriction applies to retail posters, calendars, postcards, etc. If you require more information on usage please contact your local sales office. Client may not disassemble, decompile, reverse engineer or otherwise reduce to human-readable form any software included as part of the Work. Using the Work in a way not covered by this invoice and Contract or that is specifically prohibited, without prior written consent from Images.com, Inc. is a violation of federal copyright law. This license is in force until it is terminated. If Client does not comply with the terms and conditions above, this license automatically terminates. At termination, the Work must be returned to Images.com, Inc. immediately. The Work is copyright Images.com, Inc. or its licensors and is protected by the United States copyright laws, international treaty provisions and other applicable laws. No title or intellectual property rights in the Work are transferred to Client. Images.com, Inc. retains all rights not expressly granted by this license. Images.com, Inc. reserves the right to discontinue the license of the Work, for any reason and to elect to replace the Work with an alternative. Upon notice of any discontinuance of a license Client, and its employer and its client, if applicable, agree not to further use the Work so discontinued. This Agreement shall automatically terminate upon failure by Client to comply with its terms.
ADDITIONAL CONTRACT TERMS FOR RIGHTS-PROTECTED AND ROYALTY FREE IMAGERY
Use of Delivered Work/Releases. Unless otherwise indicated on this invoice, and unless Fee has been paid in full, Work is for inspection only and no usage rights have been granted. In this case, copying, televising, transmitting or projecting the Work is not permitted, nor is use of the Work in layouts, sketches, Photostats, mock-ups, etc. Client agrees not to use the Work or to allow any other party to use the Work in a defamatory or libelous manner or context. Client agrees not to use the Work or to allow any other party to
use the Work in connection with sensitive subjects (e.g., sex, sexual issues, alcohol, tobacco, drugs, substance abuse, violence, political statements, hate groups, physical or mental abuse, HIV/AIDS or other serious physical or mental ailments, etc.) without Images.com's written permission, and agrees to hold Images.com and the artist(s) harmless from any and all claims and expenses arising from any such unauthorized use. If Client requests permission from Images.com to use the Work in connection with sensitive subjects, Images.com retains the right to refuse such permission. Client should not assume that artist or Images.com has obtained a model or property release for any individual or property depicted in the Work and the Work shall not be used by Client for any purpose for which a release is required unless a release is supplied in writing to Client by Images.com, or otherwise obtained by Client. Indemnity. Client hereby indemnifies and holds Images.com harmless against any injury, liability, harm or cost (including
reasonable attorneys' fees) Images.com incurs arising out of use by Client of the Work other than as permitted under this contract or other breach by Client of this contract. Payment Terms. No rights are granted until full payment of Images.com's invoice is received. Any disputes Client may have concerning the invoice amount or the rights granted must be submitted to Images.com, in writing, within 10 days of the invoice date, or it shall be deemed that Client accepts this invoice as issued. This invoice must be paid within 30 days of the invoice date net, without any discounts. No Assignment/No Transfer. The rights granted in this Contract shall not be assigned in whole or in part without Images.com's prior written consent and no compilation, derivative or collective work containing the Work shall be transferred to any other person or organization without the prior written consent of Images.com, Inc. Service on Client. Client agrees that service on Client may be made by prepaid certified mail, delivered to the address set forth on this invoice. Complete Agreement. This invoice and contract contain the entire understanding between Client and Images.com and any changes or amendments to this invoice or contract must be in writing and signed by both Client and Images.com. Limited Warranty. Images.com, Inc. warrants the Work to be free from defects in material and
workmanship for 30 days from the delivery or invoice date, whichever is earlier. Client's sole and exclusive remedy for a breach of this warranty is the replacement of the Work or a refund of the invoiced price, at the option of Images.com, Inc. Images.com, Inc. makes no other warranty nor agrees any other condition, representation or undertaking, either express or implied, of any nature, including as to merchantability, satisfactory quality, fitness for any particular use or compatibility with any computer or other kind of equipment. Neither Images.com, Inc. nor any of its agents or employees shall be liable to any distributor or other reseller, customer, end user or other person for any indirect, incidental, special or consequential damages (including loss of profit, business, revenue, goodwill or anticipated savings) resulting from its performance or non-performance of this Contract or the use of, or inability to use, the Work provided under this Contract or arising (or which might be claimed) under any other cause of action or theory of claim. Moreover, the liability of Images.com, Inc., its agents and employees in respect of any other cause of action (whether arising in tort, contract or otherwise and notwithstanding any negligence or other fault) shall in no event exceed the Fee paid by Client. Some jurisdictions do not permit the restriction of liability in respect of death, personal injury, deceit nor the exclusion of certain implied conditions and/or warranties and, accordingly, the liability of Images.com, Inc. shall not be restricted to the extent that this is not legally permitted. Arbitration and General Provisions. Any and all disputes relating to this contract, including its validity, interpretation, performance, breach or other matter shall be settled by arbitration in New York City pursuant to the rules of the American Arbitration Association. Judgment upon any reward rendered may be entered in the highest court having jurisdiction, whether municipal, state, federal or other, and the interpretation of this Contract shall be governed by the laws of the state of New York, excluding the application of its conflicts of law rules. Client agrees that the arbitrators shall have full authority to award all costs of the arbitration including legal fees, plus legal interest on any award. This Contract shall not be governed by the United Nations Convention on Contracts for the International Sale of Goods, the application of which is expressly excluded. If any part of this Contract is found void and unenforceable, it shall not affect the validity of the balance of the Contract, which shall remain valid and enforceable according to its terms. Client agrees that the Work will not be shipped, transferred or exported into any country or used in any manner prohibited by the United States Export Administration Act
or any other export laws, restrictions or regulations.

END USER LICENSING AGREEMENT

Images.com grants you a non-transferable, non-exclusive license to view, store, reproduce (including making a copy onto your computer's hard drive), use the digital images on this website and any authorized derivatives or copies thereof (collectively the "Images") solely for evaluation purposes, to test or sample the Images, including using the Images in comps, rough or draft layouts, or for demonstration to your clients but only when in good faith, use of the specific image is intended.

Rates and rights must be negotiated before any other usage, other than those uses described above. All photographs and rights not expressly granted in writing remain the exclusive property of the photographer and are limited to one-time use.

Cancellation Policy: Orders canceled within 7 days are eligible to receive 100% cancellation or credit; orders canceled with in 30 days are subject to a 50% cancellation fee. No cancellations will be accepted after 30 days from the invoice date.

Images.com requests that a credit reading "©Photographer's Name/Images.com" appear adjacent to the images or on an obvious credits page or screen. Missing and/or incomplete credits are susceptible to additional charges.

Notwithstanding the License Grant above, you may not:
Sublicense, re-license, rent or lease any of the Images; Copy or publish any of the Images to a network or bulletin board, or otherwise distribute or allow any of the Images to be distributed to or used by anyone other than the authorized users, without prior written consent from Images.com; Use any of the Images for any form of pornography, or in a libelous, defamatory, fraudulent, infringing, or otherwise illegal manner; Use any of the Images to promote a business that sells or licenses photographic images, or otherwise competes with Images.com in any manner; or Ship, transfer or export any of the Images into any country or use any of the Images in any manner prohibited by any export laws, restrictions or regulations.
